Rules and regulations

1. IDA Forsikring – IDA’s insurance group – Insurance company
IDA Forsikring is established in accordance with the rules and regulation of The Danish Society of Engineers. The group’s offices are in the City of Copenhagen.
2. The purpose of the group
The purpose of the insurance group is, as part of IDA’s other efforts to maintain and recruit members, to offer our attractive insurances related to the members’ personal interests.
The insurance group enters for this purpose into agreements with one or more insurance agencies, and the group handles the members’ interests in matters with insurance agencies.
Also, it is the purpose of the insurance group with specific authorisation from the board to invest in other associations and businesses which offer the members’ beneficial agreements, offers on consumer goods, and the like.
Members and policyholders can be become members of The Danish Society of Engineers, IDA, as well as members of close business partners and their spouses, and permanent employees, as long as the insurance takers live up to IDA Forsikring’s regular guidelines for taking out insurance.
4. Fiscal year
The fiscal year follows the calendar year.
5. Membership fees
We charge a small annual membership fee to cover the expenses of the insurance group. The fee is determined by the board at the general meeting.
The members are not liable to the group’s obligations to third parties.
The insurance group is managed by a board of five members of which two is elected by and among the members of the group at the ordinary general meeting. The Central Board of the Danish Society of Engineers choses the three other members of which one becomes chairman.
At the ordinary general meeting the members elect the treasurer among the four other board members. A majority of the board must be insured in one or more of the agencies the group collaborates with.
The members of the board are elected for two years at a time so the chairman and two members are on election in even years and the other two members are on election in odd years.
8. The direction of group
The direction of the insurance group is headed by the chairman or two other members of the board.
9. The general meeting
An ordinary general meeting is held annually in the second quarter. Notice must be given in “Ingeniøren”, the membership magazine of The Danish Society of Engineers, at least 14 days in advance.
The agenda must include the following topics:
- Election of Chairman
- The Directors’ Report
- Presentation of financial statement of the group
- Determination of membership fees for the coming year
- Proposals received
- Election in accordance with regulations
- Election of accountant
- Any other business?
Suggestions from members are to be at the board’s disposal at least 8 days before the general meeting in order to considered at the meeting. The audited accounts are handed out at the general meeting.
Only members with valid passes are granted access and allowed to vote at the general meeting. Passes can be attained at IDA Forsikring no later than five working days before the general meeting.
10. Extraordinary general meeting
An extraordinary general meeting can be held if the board decides or if at least 1/10 of the members make a request for it in writing to the board.
Following such a request, an extraordinary general meeting will be called within three weeks and has to be called no later than eight days before the meeting.
Minutes must be taken from all general meetings to be signed by the chairman and the chairman of the board.
11. Changes to the regulations of the group
Changes to the regulations of the group – except from the termination of the group – can be made if 3/4 of the members present agree to it.
To be valid, changes to the regulations §2, 3, 7, 12, and 13 must be approved by the management of The Danish Society of Engineers.
12. Termination of the group
A termination of the group can take place at a general meeting if the proposal has been sent to the members in due time, and if at least half of the members who are entitled to vote are present, and if 3/4 of these vote in favour the proposal.
If the necessary number of members are not present 3/4 of the present members can decide that a new general meeting should be called to be held within a month. At the new extraordinary general meeting the proposal can then be passed by a regular majority vote among the present members who are entitled to vote.
Each policyholder must cancel his own insurance in writing to the insurance agency.
13. Group funds in case of termination
If it is decided to terminate the group its funds are transferred to The Danish Society of Engineers. This was decided at the founding general meeting at 21 August 1984 and later modified at
